International distribution contract with an American partner

Following a long-term relationship of distributing, an Italian supplier seeks to operate in the United States through an on-the-spot company, without interrupting the relation with the distributer. Something that would cause both a legal action of the distributer against the supplier for damage repair and  a visible loss of sales.
The negotiation and the distribution contract between the parties lead to the achievement of the supplier’s goals who keeps the client and can in the meanwhile operate through its own local company.
